Terms of service and membership.

The terms governing your use of SunShare's electricity supply services, platform, and member dashboard — effective June 4, 2026.

Definitions

In these Terms and Conditions, the following definitions apply:

  • "SunShare" refers to SunShare Philippines Inc., a corporation registered with the Securities and Exchange Commission and licensed by the Energy Regulatory Commission as a Retail Electricity Supplier.
  • "Member" or "Customer" refers to any individual or entity that has entered into a Retail Supply Agreement with SunShare.
  • "Service" refers to electricity supply services, the SunShare platform, dashboard, and any related tools provided by SunShare.
  • "Distribution Utility (DU)" refers to the electricity distribution company serving your area (e.g., Meralco, VECO, Davao Light).
  • "Supply Agreement" refers to the individual Retail Supply Agreement governing your electricity supply from SunShare.
  • "Platform" refers to the SunShare website, mobile application, and member dashboard at sunshare.ph.

Eligibility and Registration

Who can join SunShare

SunShare services are available to electricity consumers in service areas where SunShare holds a valid Retail Electricity Supplier license. Eligibility is subject to:

  • Your location being within a covered distribution utility area
  • Your account being in good standing with your current distribution utility
  • Meeting the minimum consumption or aggregation requirements under the ERC's Retail Competition and Open Access (RCOA) framework
  • Providing accurate and complete information during the application process

Account registration

By registering, you confirm that all information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. Notify SunShare immediately at support@sunshare.ph of any unauthorized use.

Registration does not automatically constitute a Supply Agreement. Service commencement is subject to a separate Supply Agreement and successful completion of the supply switch process with your distribution utility.

Service Terms

Nature of service

SunShare supplies electricity to Members under the terms of an individual Retail Supply Agreement. Physical delivery of electricity continues through your existing distribution utility's network. SunShare is not responsible for the physical reliability of electricity delivery, which remains the obligation of your DU under its separate franchise obligations.

Service commencement

The supply switch process typically takes 30–60 days from signed agreement to first billing cycle under SunShare supply. This timeline depends on your distribution utility's processing schedule, which is governed by ERC rules, not SunShare.

Service continuity

Your electricity supply will not be interrupted during the switch process. If you experience any service disruption, contact your distribution utility first, as physical delivery issues are outside SunShare's operational control.

Platform availability

SunShare aims to maintain platform availability of 99.5% measured monthly. Planned maintenance will be announced 24 hours in advance. Unplanned outages will be communicated through the SunShare status page and via email to registered Members.

Billing and Payment

Billing structure

As a SunShare Member, you will receive billing for your electricity supply according to the rates specified in your individual Supply Agreement. The generation component of your bill will reflect SunShare's contracted rates — typically lower than your DU's default rate. All other regulated charges (distribution, transmission, universal charges, taxes) remain unchanged and are billed by your DU.

Payment terms

Payment is due within the period specified in your Supply Agreement and on your bill statement, typically 15 days from the billing date. SunShare accepts payment through the methods listed in your Supply Agreement and on the Member dashboard.

Late payment

Overdue amounts may incur interest at the rate specified in your Supply Agreement. Persistent non-payment may result in referral to your distribution utility for service interruption under applicable ERC rules, after due notice.

Billing disputes

If you believe your bill contains an error, contact SunShare within 15 days of the bill date. We will investigate and respond within 10 business days. Disputed amounts need not be paid during the investigation period, provided you pay undisputed amounts on time.

Switching and Termination

Switching to SunShare

By signing a Retail Supply Agreement with SunShare, you authorize SunShare to notify your distribution utility of your intention to switch electricity suppliers. This authorization is irrevocable until the switch is completed or you withdraw it in writing before the switch is processed.

Switching away from SunShare

Residential Members may terminate their Supply Agreement and return to their DU's default supply with one billing cycle's notice, submitted in writing. There is no early termination fee for residential customers.

Commercial and industrial Members are subject to the termination provisions specified in their individual Supply Agreement, which may include notice periods and termination fees as negotiated.

Termination by SunShare

SunShare may terminate your Supply Agreement with 30 days' written notice if: you breach these Terms and your Supply Agreement, you provide materially false information during registration, or SunShare's ERC license is suspended or revoked. In the event of license issues, SunShare will assist with transition to an alternative supply arrangement.

Limitation of Liability

SunShare's liability to Members is limited as follows:

  • SunShare is not liable for electricity supply interruptions caused by your distribution utility, the national grid, force majeure events, or circumstances outside SunShare's control
  • SunShare's total liability for any claim arising from these Terms or your Supply Agreement shall not exceed the total amount you paid to SunShare in the three months preceding the claim
  • SunShare is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption
  • Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded by Philippine law

The savings projections provided by SunShare's calculator and SunShare Insights analysis are estimates based on available data. Actual savings may differ due to changes in market rates, consumption patterns, or regulatory adjustments. Projections do not constitute a guarantee of savings.

Intellectual Property

The SunShare name, logo, platform, dashboard, SunShare Insights system, and all associated software and content are the intellectual property of SunShare Philippines Inc. or its licensors. You may not reproduce, distribute, modify, or create derivative works from SunShare's intellectual property without prior written consent.

You retain ownership of all data you provide to SunShare, including electricity bill data and personal information. You grant SunShare a limited, non-exclusive license to use this data to deliver and improve the Service as described in our Privacy Policy.

Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines. Any disputes arising from these Terms or your Supply Agreement shall be resolved first through good-faith negotiation, then through mediation, and if necessary, through arbitration or the appropriate Philippine courts having jurisdiction in Pasig City, Metro Manila.

Nothing in this section prevents either party from seeking injunctive relief or other urgent remedies from a Philippine court of competent jurisdiction.
